XII. The President and the Vice-President

  1. The President of the Association shall be elected by the General Assembly for a term of three (3) years.

  2. The President of the Association, within its competence, shall:

    1) act on behalf of the Association without power of attorney;

    2) provide overall management and enforcement of statutory objectives of the Association;

    3) represent the Association in relations with government agencies, local governments, public organizations, enterprises, institutions and organizations, irrespective of form of ownership, and natural persons;

    4) issue orders on behalf of the Association; open bank accounts; manage funds on bank accounts on behalf of the Association; sign documents and enter into agreements and contracts on behalf of the Association;

    5) issue orders; approve regulations and other binding for the Members of Association documents;

    6) provide administration of the Association’s assets and funds;

    7) employ and dismiss employees of the Association, determine their employment duties;

    8) conduct the activity of the Members and staff of the Association;

    9) submit to the Executive Board an information on expulsion of Members from the Association;

    10) convene annual General Assembly; initiate an extraordinary General Assembly; propose the agenda of the General Assembly; sign made by him decisions;

    11) fulfill instructions of the General Assembly;

    12) be entitled to transfer some of its rights and duties to officials of the Association;

    13) resolve other issues related to the activity of the Association that are not assigned to the exclusive competence of the General Assembly.

  3. The President can be resigned voluntarily by means of submission of a written application to the Executive Board.

  4. The President may be prematurely removed from office by decision of the General Assembly, convened on the initiative of at least one-half Members of the Association, in the following cases:

    1) for repeated violations of the Charter of the Association and decisions of statutory bodies of the Association;

    2) in case of actions that discredits reputation of the Association and/or cause pecuniary damage.

  5. The Vice-President of the Association is the Deputy President of the Association and is also the Vice Chairman of the Executive Board. The Vice-President serves as the President of the Association at the time of absence of the latter or if he is unable to perform his duties.

  6. Under instructions of the President of the Association, the Vice-President shall act and perform certain powers of the President.

  7. The Vice-President is entitled to act on behalf of the Association without power of attorney as regards to representation and protection of interests of the Association in relations with government agencies, local governments, public organizations, enterprises, institutions and organizations, regardless of form of ownership, and natural persons; to open accounts in the banks; to sign documents and to conclude agreements on behalf of the Association.

  8. If the President of the Association can not enter upon the office for more than six (6) months, the Vice-President shall convene the Extraordinary General Assembly of the Association to discuss the situation and the issue of management of the Association.

  9. The President and the Vice President shall work on a voluntary basis.
